IMOGEN FLORENCE PHOTOGRAPHY - THE AGREEMENT
THIS AGREEMENT is made the day of 2026
BETWEEN:
(1) Imogen Collins trading as Imogen Florence Photography, an unincorporated sole Photographer whose main trading address is Cherry Trees, The Green, Oxford OX44 7UW (“the Photographer”) and
(2) of address: ('The Client')
BACKGROUND:
(1) The Photographer provides photography services to consumer clients and has reasonable skill, expertise and knowledge in that field.
(2) The Client wishes to engage the Photographer to provide the services specified below (“the Services”).
(3) The Photographer agrees to provide the Services to the Client, subject to the attached Terms and Conditions and the terms of this Agreement.
IT IS AGREED as follows:
The Agreement
This Agreement incorporates Our Terms and Conditions at https://imogenflorence.com/terms-%26-conditions the “T’s & C’s”.
In this Agreement, words with initial capital letters have the same meaning as they have in the Terms and Conditions.
A legally binding contract between You and Us will be created when You and We sign this Agreement.
We confirm and You acknowledge that We have given or made available to You the following information (save for where such information is already apparent from the context of the transaction):
The main characteristics of the Services;
Our identity and contact details;
The total price payable for the Services including taxes or, if the Price cannot be calculated in advance, the manner in which it will be calculated;
The arrangements for payment, performance and the time by which (or within which) We undertake to perform the Services;
Our complaints handling policy;
The duration of this Agreement, where applicable, or if this Agreement is of indeterminate duration or is to be extended automatically, the conditions for terminating it.
As required by the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013:
all of the information described in Clause 1.4; and
any other information which We give to You about the Services or about Us which You take into account when entering into this Agreement or when making any other decision about the Services and Our Terms & Conditions -
will all be part of the terms of Our contract with You as a Consumer.
The Services
We will provide the Services as Clause 6 to Our T’s & C’s and:
begin to provide the Services on the Start Date mentioned;
provide the Services during the Agreed Times or such other times as You and We may agree in writing;
provide the Services at the Property located at Cherry Trees The Green, Stadhampton, Oxford;
perform the Services in accordance with the specification referred to in Clause 2.2
The specification for the Services is as follows:
2.2.1 Package. 1 photoshoot of up to 1 hour. 20 edited digital image and anything extra is charged at £10 per image. One frame posted to you as an additional extra only chosen by The Client.
2.2.2 Post shoot. Raw images sent via “pic-time” gallery as Clause 6.5 of Our Terms & Conditions;
You and We may agree in writing to vary the specification from time to time.
Price and Payment
The Fees are as set out in Clause 5 to Our terms & Conditions and:
You will pay the Booking Fee of £50 on Our accepting the instruction as explained in Clause 3.3 to Our T’s & C’s and the balance is to be paid as explained in Clause 5 (see Clause 5.8 in particular) to Our T’s & C’s and any additional expenses agreed are payable on receipt of Our invoice;
Final edited images are only sent on payment in full.
Other Matters
4.1 Photo edits are image and colour enhancement and minor correction only. We do not provide heavy re-touching or manipulation of images or appearance of the subject (model) of the photo-shoot;
4.2 proofs for review are sent with a watermark;
4.3 repeat edits are charged at £5 per image;
4.4 If you or anyone the subject matter of the photoshoot has any sign of Covid you may be asked to produce evidence of a clear test or not attend the photoshoot. In such case We will rearrange the session and Clause 11.1.4 of Our T’s & C’s applies (we retain the Booking fee towards the rescheduled photoshoot.)
Waiver of Cooling Off Period
By signing this Agreement You request Us to commence provision of the Services immediately and not to wait for the 14 calendar day cooling off period referred to in Clause 11 of the Terms and Conditions to expire.
You acknowledge that if You exercise the right to cancel You will be liable to pay Us for the Services provided up until the point at which You inform Us of Your wish to cancel, as set out in Clause 11 of the Terms and Conditions.
Waiver of Moral Rights/Model Waiver
6.1 I irrevocably and unconditionally waive all rights to which I may be entitled arising out of Chapter IV of the Copyright, Designs and Patents Act 1988 and any other moral rights provided for under the laws now or in future in force in any part of the world in relation to the exploitation by Imogen Florence Photographers, its successors, assignees and licensees of the images from the photoshoot on my behalf and on behalf of any minors I am parent or guardian of who appear in the images, and
6.2 for the avoidance of doubt I consent to you taking images of me and any minors appearing and also your use of the images of me and any minors appearing being used on social media, your own website and portfolio, whether private or public;
